Affiliate Program Terms & Conditions

1. Program Overview

The Content Pearl Affiliate Program ("Program") allows approved participants ("Affiliates") to earn commission by referring new paying subscribers to Content Pearl. By participating in the Program, you agree to these Terms & Conditions.

2. Eligibility & Approval

Participation in the Program requires application and approval by Content Pearl. We reserve the right to accept or reject any application at our sole discretion. We may also suspend or terminate any affiliate account at any time for any reason, including but not limited to violation of these terms, fraudulent activity, or brand misrepresentation.

3. Commission Structure

Affiliates earn a 20% recurring commission on the base subscription plan fee of each referred user for the duration of that user's active subscription. Commission is calculated based on the standard monthly or annual subscription rate of the plan the referred user subscribes to (Creator, Pro, or Agency).

Commission is earned on each successful billing cycle where the referred user's subscription remains active and in good standing.

4. Payout Terms

Commissions become eligible for payout 60 days after the billing event that generated them. This delay ensures that refunds, chargebacks, and payment disputes can be resolved before commissions are finalized.

Content Pearl reserves the right to recalculate, adjust, or void commissions in cases where:

• The referred user requests a refund or initiates a chargeback
• The referred user's payment fails and is not recovered
• The referred user's subscription is cancelled or downgraded
• Fraudulent or artificial referral activity is detected

Payouts are processed manually on a monthly basis for eligible commissions. Minimum payout threshold is $50 USD.

5. Referral Tracking

Referrals are tracked via unique affiliate links containing your referral code. When a visitor clicks your link, a tracking cookie is stored for 30 days. If the visitor creates an account and subscribes within that window, the referral is attributed to you.

Only the first affiliate link a visitor clicks is credited. Subsequent affiliate links from other affiliates will not override the original referrer.

6. Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination:

• Self-referrals: Referring yourself or accounts you control
• Fraudulent traffic: Using bots, click farms, or artificial means to generate clicks or signups
• Misleading promotion: Making false claims about Content Pearl's features, pricing, or capabilities
• Spam: Sending unsolicited bulk emails, messages, or comments to promote your link
• Brand impersonation: Representing yourself as a Content Pearl employee or official representative
• Paid advertising on brand terms: Bidding on "Content Pearl" or similar branded keywords in paid search
• Incentivized signups: Offering monetary incentives for users to sign up through your link

7. Intellectual Property

Content Pearl grants affiliates a limited, non-exclusive, revocable license to use the Content Pearl name and logo solely for the purpose of promoting the Program. All other intellectual property rights remain with Content Pearl.

8. Relationship

Affiliates are independent contractors, not employees, agents, or partners of Content Pearl. Nothing in these terms creates an employment, partnership, or agency relationship. Affiliates are responsible for their own taxes and obligations.

9. Modifications

Content Pearl reserves the right to modify these terms, commission rates, or program structure with 30 days written notice to active affiliates. Continued participation after the notice period constitutes acceptance of the modified terms.

10. Termination

Either party may terminate the affiliate relationship at any time. Upon termination, any pending eligible commissions will be paid out within 60 days. Commissions that have not yet reached the eligibility window (60 days post-billing) will be voided upon termination.

11. Limitation of Liability

Content Pearl's total liability to any affiliate shall not exceed the total commissions paid to that affiliate in the 12 months preceding the claim. Content Pearl is not liable for any indirect, incidental, or consequential damages arising from participation in the Program.
